Reading Persian Contracts: Legal Vocabulary for Non-Lawyers

<![CDATA[ I signed my first Persian-language contract without understanding half of it. It was a rental agreement in Tehran, and I figured. how different can it be from an English lease? Very different, it turns out. Persian legal language is a specific dialect of its own, stuffed with Arabic-origin terms that don't appear anywhere else in the language. When I later needed to dispute a clause, I couldn't even identify which paragraph said what. That mistake cost me three months of hassle and a deposit I shouldn't have lost.

You don't need a law degree to read a Persian contract. You need about 50 key terms, an understanding of how Persian contracts are structured, and the sense to know when to call an actual lawyer. This post gives you the first two.

How Persian Contracts Are Structured

A standard Persian contract (قرارداد. gharârdâd) follows a predictable format. Once you recognize the sections, you can navigate any contract even before you understand every word.

Header Section

بسم‌الله الرحمن الرحیم. besm-ellâh al-rahmân al-rahim. "In the name of God, the compassionate, the merciful"

Almost every formal Persian document opens with this. It's cultural and customary, not legally binding.

قرارداد / عقدنامه. gharârdâd / aghdnâme. contract / deed

شماره قرارداد. shomâre-ye gharârdâd. contract number

تاریخ. târikh. date (in Solar Hijri calendar)

Parties Section

طرفین قرارداد. tarafeyn-e gharârdâd. parties to the contract

طرف اول. taraf-e avval. first party

طرف دوم. taraf-e dovvom. second party

Each party is identified by:

• نام و نام خانوادگی. nâm va nâm-e khânevâdegi. first name and family name
• شماره ملی. shomâre-ye melli. national ID number
• نشانی. neshâni. address
• شماره تماس. shomâre-ye tamâs. contact number

Subject Section

موضوع قرارداد. mowzu'-e gharârdâd. subject of the contract

This is the "what". what's being agreed upon. In a rental contract, it describes the property. In a service contract, it describes the work.

Terms and Conditions

شرایط و مقررات. sharâyet va moghararrât. terms and regulations

مدت قرارداد. moddat-e gharârdâd. duration of the contract

مبلغ قرارداد. mablagh-e gharârdâd. contract amount/price

Reading a Persian Contract: What to Look For

The Obligations Section (تعهدات)

This is where most problems hide. Each party's obligations are listed under separate headings:

تعهدات طرف اول. ta'ahodât-e taraf-e avval. obligations of the first party

تعهدات طرف دوم. ta'ahodât-e taraf-e dovvom. obligations of the second party

Read both sections carefully. In Iranian contracts, obligations are often stated in dense legal prose with nested conditions. A single sentence can contain three obligations connected by و (va. "and").

Penalty Clauses (جرایم)

وجه التزام. vajh-ol-tezâm. penalty clause / liquidated damages

This is the most important financial term you'll encounter. It specifies how much one party pays if they breach the contract. In Iranian contracts, this amount can be surprisingly high. Always check:

در صورت عدم انجام تعهدات، طرف متخلف مکلف به پرداخت مبلغ... به عنوان وجه التزام می‌باشد.. dar surat-e adam-e anjâm-e ta'ahodât, taraf-e motakhallef mokallaf be pardâkht-e mablagh-e... be onvân-e vajh-ol-tezâm mibâshad.. "In case of non-fulfillment of obligations, the breaching party is required to pay the amount of... as a penalty."

Termination Conditions (شرایط فسخ)

Under what circumstances can either party cancel the contract? Look for:

حق فسخ. hagh-e faskh. right of cancellation

بدون قید و شرط. bedun-e gheyd-o-shart. unconditionally

با اخطار قبلی. bâ ekhtâr-e ghabli. with prior notice

هر یک از طرفین می‌تواند با اخطار کتبی سی روزه نسبت به فسخ قرارداد اقدام نماید.. har yek az tarafeyn mitavânad bâ ekhtâr-e katbi-ye si ruze nesbat be faskh-e gharârdâd eghdâm namâyad.. "Either party may proceed with contract cancellation with thirty days' written notice."

Red Flags in Persian Contracts

One-sided penalty clauses. If only one party has a وجه التزام against them, the contract is unbalanced. Both parties should face consequences for breach.

Vague subject description. The موضوع قرارداد should be specific. "Services" without detailed scope is a problem. "Property" without exact address, area, and specifications is a problem.

Missing dispute resolution clause. If there's no حل اختلاف section, you're heading to court by default. which in Iran can take years. Look for arbitration (داوری) clauses that provide faster resolution.

Undated checks. In Iranian business, چک سفید امضاء (chek-e sefid-emzâ'. blank signed check) is sometimes requested as security. Never sign a check without a date and amount filled in. This is a common source of fraud.

No witness clause. Contracts without witnesses (شهود) are still valid but harder to enforce if disputed.

Common Contract Types in Iran

اجاره‌نامه. ejâre-nâme. lease/rental agreement The most common contract foreigners encounter. Usually for 1-year terms with a large deposit (ودیعه) rather than monthly rent in many cases.

مبایعه‌نامه. mobâye'e-nâme. sales agreement For buying property, vehicles, or goods. Must be registered at a دفتر اسناد رسمی (notary) for property.

قرارداد کار. gharârdâd-e kâr. employment contract Governed by Iran's labor law (قانون کار). Has specific requirements for termination notice and benefits.

قرارداد خدمات. gharârdâd-e khadamât. service contract For freelance or consulting work. Less regulated than employment contracts.
